Mergers, Acquisitions, Closures and Employees’ Say on Company Restructuring: The Thyssenkrupp-Tata Merger and Profitability Without Massive Job Cuts

This paper discusses employees’ say on company restructuring. It empirically assesses the working of section 111 and 112 of Germany’s Works Constitution Act that grants information and consultation rights to works councils in the event of mergers, acquisitions, closures and other forms of business alterations. It focuses on the role of German works councils in the proposed merger of Germany’s Thyssenkrupp and India’s Tata, a joint venture of two giant steel companies operating across Europe and uses media reports to review the facts of such merging process. This work argues that works council’s activism was critical to the protection of jobs and the fair balancing of the interests of employees, shareholders and management, which was strongly facilitated by a long-standing culture of co-determination and the Works Constitution Act. Contrary to the shareholder primacy tradition, employees via works councils pressed for creative solutions to company restructuring other than the usual massive job cuts in the midst of power struggles with management and active institutional shareholders. It is further claimed that it is thus crucial that works councils are provided with timely and full information about the financial status, business opportunities and updated details of company restructuring plans since very early in the process. Section 111 and 112 of the Works Constitution Act should be interpreted in a way that serves that purpose. Ultimately, this paper shows that employees’ say on company restructuring is feasible, effective and desirable. It helps maintain the profitability and the long-term sustainability of a company while avoiding massive job cuts. This is possible because of the re-distribution of the cost and rent of company restructuring among all stakeholders that results from the re-distribution of the decision-making power as exemplified with the granting of information and consultation rights to works councils.
