The notion of content-independent reasons plays a central role in political and legal theory. Unfortunately, it is not very well understood. I argue in the first part of this paper that the standard characterizations of content-independent reasons are either incoherent or fail to distinguish paradigmatic content-independent reasons from paradigmatic ordinary reasons. In the second part of the paper, I develop and defend a Gricean account of the distinction between content-independent and ordinary reasons. The key idea is that a content-independent reason is a reason of the following form: X intends that Y adopt the intention to Φ.
