Abstract
Résumé Dans cet article, nous analysons l’évolution des règles de gouvernance au Canada de 1997 à 2005, des règles du TSX aux nouvelles réglementations sur la gouvernance édictées depuis le début de 2004. Sur la base d’un échantillon de grandes entreprises canadiennes (N = 20), nous nous intéressons, entre autres, aux sujets suivants rattachés au concept de gouvernance d’entreprise : la proportion des administrateurs et la taille du conseil d’administration, les fonctions de PDG et de président du conseil d’administration, les différents comités du conseil, les préoccupations sociales et environnementales, les dons philanthropiques.
