Este artigo objetiva analisar a influencia das Estruturas de Governanca (EG) nos Custos de Transacao (CT) de Cooperativas de Credito brasileiras e canadenses. A analise de dois estudos de caso no Brasil e no Canada comprovou que a evolucao das estruturas de governanca ocorreu, simultaneamente, a evolucao do ambiente juridico-institucional, em um processo dialetico. Constatou-se, nos casos do Movimento Desjardins e do Sistema Sicredi que, embora evoluindo a partir de ambientes institucionais distintos, ha uma tendencia a homogenia das redes na criacao de instituicoes ad hoc para lidar com a governanca. Assim, ambas as redes possuem instituicoes especificas para lidar com essas funcoes. A diferenca principal reside no tipo societario utilizado e no processo de governanca decorrente deste. Inferiu-se, ao final da pesquisa, uma equacao para comparar as EG hibridas, em que custos incorridos para realizar transacoes internas, somado aos custos das pressoes politicas e sociais precisam ser menores ou iguais aos CT com instituicoes com EG hierarquicas.
