Abstract
Ce texte fait le point sur l’état de la législation économique applicable aux entreprises à participation étrangère exploitées sur le territoire chinois. Il expose d'abord les différentes modalités que peut revêtir l'investissement étranger en Chine : coentreprises à capitaux chinois et étrangers, entreprises coopératives, entreprises à capitaux étrangers, exploitation pétrolière coopérative, actions de sociétés chinoises émises sur les marchés internationnaux, conventions build, operate and transfer, commerce de compensation. L'auteure décrit ensuite le contenu essentiel des textes du droit chinois conditionnant le choix d'un domaine d'investissement, l'approbation administrative des projets et le choix d'une structure juridique. Tous les domaines d'investissement ne sont pas ouverts au même degré aux participations étrangères. Quant aux processus d'examen administratif des projets, au niveau local et central, il tend à se différencier selon les domaines d'investissement et les types de structure juridique, mais sa lenteur représente encore un problème sérieux. Enfin, en ce qui concerne les structures juridiques, la société par actions s'offre maintenant comme canal d'investissement, à côté de la société à responsabilité limitée. Le texte donne enfin un aperçu du régime douanier et fiscal applicable aux entreprises à participation étrangère, ainsi que des règles de contrôle des exportations et des changes.
