Abstract
De nombreuses études ont porté sur la gouvernance d’entreprise au sein des grandes entreprises, mais peu d’études ont été réalisées sur les mécanismes de gouvernance existants ou qui devraient être mis en place au sein des PME. Cet article montre que la structure de propriété, le mode d’accession aux fonctions de p.-d.g. et le capital humain du dirigeant sont des variables fondamentales pour comprendre la performance et le développement des PME. La mise en place d’une gouvernance d’entreprise au sein des PME nécessite donc de tenir compte, non seulement des spécificités de la structure de propriété, mais également des caractéristiques du dirigeant et des objectifs de ses actionnaires.
