Cet article analyse les facteurs qui déterminent la présence de représentants des actionnaires salariés au sein du conseil d’administration ou de surveillance. Nous suggérons qu’un faible degré d’enracinement du dirigeant favorise la présence de représentants des actionnaires salariés, réputés loyaux et passifs envers leur dirigeant. Cependant, la capacité de résistance du conseil d’administration ou de surveillance à la stratégie d’enracinement du dirigeant, déterminée par sa composition et sa structure, réduit la probabilité de la présence de représentants des actionnaires salariés. Nos résultats basés sur une étude quantitative montrent que le degré d’enracinement du dirigeant ainsi que la capacité de résistance du conseil réduisent significativement la probabilité d’une représentation des actionnaires salariés au conseil d’administration ou de surveillance.
