Abstract
L'offre publique d'achat est un mécanisme par lequel on peut réaliser le transfert ou le déplacement du contrôle d'une société par actions. Au Québec, ce mécanisme se trouve principalement régi par deux systèmes juridiques, soit le système dérivé de la Loi sur les valeurs mobilières et celui qui se rattache au droit des sociétés. La présente étude préconise une approche synthétique dont l'objectif est de faire ressortir les principales lignes de force du droit applicable à l'offre publique d'achat au Québec.
