Abstract
La personnalité juridique des sociétés a toujours été problématique. De tout temps, les juristes ont été incapables de concilier personne morale et responsabilité illimitée. Cette incompréhension légendaire s'explique sans se justifier historiquement. Elle résulterait, selon nous, d'une double anomalie historique : la première, au sein même de la famille romano-germanique, la seconde, en droit québécois, au moment de la codification. Le nouveau droit, loin de clarifier le débat, ajoute une dimension nouvelle et amène à s'interroger sur la nature juridique de la personne morale.
