Abstract
La réserve de propriété permet au vendeur d’un bien mobilier de se réserver la propriété du bien vendu en garantie du paiement du prix de vente. En Ontario, comme dans les autres provinces de common law, la loi privilégie son statut de sûreté, en conférant au vendeur un droit qui prime celui des autres créanciers garantis, même antérieurs, à condition qu’il ait été rendu opposable. Au Québec, la réserve de propriété relève de différents régimes, le législateur ayant choisi de l’assujettir à une obligation de publicité et aux recours hypothécaires, sans vouloir toutefois l’assimiler aux autres sûretés, ce qui génère de nombreuses incertitudes et tend à isoler le Québec des autres provinces. Dans la présente étude, l’auteure examine les similitudes et les différences entre la législation du Québec et de l’Ontario et les conséquences pratiques de celles-ci, y compris en matière de transactions interprovinciales. De plus, l’auteure réfléchit aux avantages qui pourraient découler d’une harmonisation accrue.
