Le débat entourant le statut à être accordé aux « sûretés-propriétés », ces transactions par lesquelles les créanciers conservent ou obtiennent la propriété d’un bien dans le contexte d’opérations dont le but principal est de garantir un paiement ou l’exécution d’une obligation, a fait rage tant aux États-Unis que dans les provinces canadiennes de common law et au Québec. Alors que le débat s’est considérablement estompé aux États-Unis et dans les provinces canadiennes de common law, il demeure entier au Québec. Après avoir situé le débat dans un cadre historique et géographique précis, l’article décrit la problématique entourant actuellement les sûretés-propriétés au Québec. Cette problématique a été exacerbée par deux décisions récentes rendues par la Cour suprême du Canada, lesquelles font également l’objet d’analyse. Puisque la Cour suprême n’est pas disposée à offrir une solution, c’est maintenant au législateur d’agir. Si le législateur québécois tarde ou refuse d’agir, l’auteure est d’avis que le législateur fédéral devra le faire à sa place, par le biais de modifications apportées à la Loi sur la faillite et l’insolvabilité.
