Abstract
La détermination de la nature du contrat passe par l’analyse des obligations en vue de déterminer l’obligation fondamentale ou la prestation caractéristique du contrat. Tout processus de qualification entraîne l’application d’un ou plusieurs régimes législatifs spécifiques. Le législateur a cru bon, au fil du temps, de réglementer diverses formes contractuelles, en particulier les contrats nommés. Sont opposés à ceux-ci les contrats innommés, pure création extralégislative. Dans sa pratique, le juriste tentera d’abord de lier le contrat aux modèles nommés connus et prévus par le législateur, que ce soit en lui donnant un seul nom ou en reconnaissant la nature mixte de la convention. L’indivisibilité des obligations tend vers la qualification unitaire, tandis que l’impossibilité de hiérarchiser les obligations tend vers la qualification distributive. Dans l’éventualité où ces tentatives ne seraient pas concluantes, une qualification innommée devrait être choisie. Il faut, par ailleurs, distinguer l’innommé qui dérive d’un autre contrat connu (atypique) de l’innommé qui est une création originale (typique).
