Cet article analyse les relations entre gouvernance et responsabilité sociétale des entreprises (RSE) comme nouvelle frontière de la finance durable. On identifie notamment trois forces motrices en matière de finance durable et RSE : la structure du capital (identité des actionnaires), la composition des conseils d'administration et le cadre réglementaire en matière de gouvernance et responsabilité sociétale des entreprises. Nous montrons comment les évolutions dans la gouvernance ces trois dernières décennies ont conduit à une montée en puissance des enjeux RSE et finance durable. Classification JEL : G34, M14.
