Abstract
Dans cet article, nous analysons le processus de changement institutionnel et organisationnel des banques coopératives françaises en étudiant l’effet de normalisation et le phénomène d’homogénéisation découlant du cadre réglementaire et institutionnel sur leur mode de gouvernance. Nous démontrons que les banques ou groupes bancaires coopératifs, malgré leurs spécificités, tendent à s’aligner sur les objectifs de rentabilité financière et de productivité, les critères de gestion et les modes de gouvernance des banques à capital-actions sous l’influence du contexte institutionnel et sous l’influence d’un phénomène d’imitation des bonnes pratiques. Cette logique de réglementation des banques, destinée au premier chef à contenir le risque systémique, ne contribuerait-elle pas, paradoxalement, à l’augmenter ? Par son effet normalisateur et l’uniformisation des pratiques de gestion et de gouvernance qu’elle favorise, ne tend-elle pas à uniformiser la vulnérabilité au lieu de renforcer la diversité des institutions financières, qui est au contraire source de stabilité ?
