Abstract
La notion d’« interet social » occupe une place essentielle en droit francais des societes. Cependant, aucune definition unanime ne se degage de la construction juridique contemporaine, l’acception oscillant selon les circonstances entre « interet des actionnaires », « interet de l’entreprise » et « interet de la personne morale ». Dans ce contexte instable, la position canadienne et nord-americaine fournit un eclairage original au debat francais. Depuis l’arret de la Cour supreme du Canada Magasins a rayons Peoples Inc. (Syndic de) c/ Wise, le droit canadien des societes consacre une vision ouverte de l’interet social. Loin d’etre isolee, cette attitude s’avere n’etre que le reflet de la mutation que subit le droit anglo-americain des societes depuis un certain nombre d’annees .
