Abstract
Résumé Les scandales financiers qui se sont produits ces dernières années ont montré que certaines normes comptables n’étaient pas adéquates et que certains comportements étaient pervertis en matière de gouvernement d’entreprise, d’audit des comptes et d’analyse financière. L’absence de contrôle interne ou un contrôle interne mal adapté ont servi à expliquer certaines dérives financières. la loi Sarbanes-Oxley de 2002 a été une réaction brutale du législateur américain, qui a eu un impact dans des pays comme la France et le Canada. Ces différentes lois font du gouvernement d’entreprise un élément privilégié pour restaurer la confiance dans l’entreprise et les marchés financiers. Or, le contrôle interne permet d’apporter la transparence nécessaire pour rétablir cette confiance et aboutir à un gouvernement «efficace». La première partie de l’article examine le cadre économique et légal des lois en question, tandis que la seconde partie expose les résultats d’une étude empirique portant sur l’application de la Loi de sécurité financière de France.
