Abstract
Résumé Le contrôle des plus grandes entreprises canadiennes inscrites en bourse repose, dans une large proportion, entre les mains de familles. Cette situation existe non seulement ici, mais également dans beaucoup d’autres pays. Cette concentration du contrôle des sociétés soulève de vives critiques dans la mesure où elle est accompagnée d’une faible part des droits de propriété, créant ainsi ce qu’on appelle une structure de l’actionnariat à contrôle minoritaire. Dans ce type de structure, il n’est pas rare de trouver un actionnaire dominant détenant la majorité des droits de vote avec une part dans le capital (droits de propriété) nettement minoritaire. Dans cet article, nous décrivons l’ampleur du phénomène des structures à contrôle minoritaire au Canada, son incidence théorique sur la gouvernance des sociétés et faisons une synthèse des études empiriques qui examinent la performance de ce type de sociétés.
