Abstract
Existing literature studies the eect of asymmetric information on many aspects of debt …nancing including debt maturity and senior- ity, collateral, liquidation rights, convertible debt, income bonds and sinking funds. Less is known about the eect of asymmetric informa- tion on …rms'incentives to issue non-recourse debt (project …nancing). This paper is intended to shed new light on this issue. We analyze the choice between project …nancing and corporate …nancing when a …rm's insiders have private information about the qualities of the …rm's investment projects. Dierent informational structures and the resulting equilibria are considered. Empirical implications including new testable predictions are discussed.
