Abstract
In Yaiguaje v. Chevron Corp., the Ontario Superior Court of Justice refused to pierce the corporate veil shielding Chevron Corporation and the Canadian members of its global corporate “family” from liability for one of the world’s worst environmental disasters. Against this backdrop, the court’s reasons, which are remarkable for being so unremarkable, so uncritically business-as-usual, invite us to rethink the moribund metaphor of corporate personality. Reconsidering the foundational norms that gave rise to the metaphor of corporate personality in the first place allows us to better understand how we have reified “the corporation,” once a socially useful fiction, into a thing endowed with “a phantom-objectivity, an autonomy that seems so strictly rational and all-embracing as to conceal every trace of its fundamental nature: the relationship between [real] people.”
