Abstract
A corporation's purpose defines who it is and drives what it does. Purpose is the master, governance its servant. Broadly speaking, the shareholder's role is to provide purpose and capital. Only management is equipped to recommend sweeping changes, identify business risks, and manage the complex intellectual, capital and technical resources of modern corporations. Ultimately, the board must assure itself that appropriate systems of governance, leadership and stewardship are in place. Independent boards can more readily fulfil their roles as leader, overseer, steward and reporter.
