Abstract
This paper examines how firms that operate with long time- horizons overcome the short-run performance pressures on management through appropriately designed corporate governance. We develop a theoretical model that analyzes the tradeoffs facing the managers and owners, and find that it may be optimal for owners of long-horizon firms to use governance to insulate managers from removal to incentivize them to take efficient actions. We then take this theory to the data, and find that firms in long-horizon industries exhibit greater managerial insulation in the form of increased anti-takeover provisions.
