Abstract
本文在归纳了私募股权（PE）投资管理特性的基础上，结合机制设计理论、委托代理理论、实物期权和金融工具理论，从投资条款清单（Term Sheet）的角度，揭示了交易结构设计的风险管理本质，并在此基础上，提出了交易结构设计的概念、流程、原则和核心要素，在为交易结构设计找到理论基础的同时，摸索出了一套进行交易结构设计的方法。
