Abstract
The liability of corporation,especially for foreign company is to regulate some crimes that are brought by the name of company.Now in China,there are only some principles for the corporation criminal liability in Criminal Act,which is not perfect,resulting in disordering in ruling foreign company crimes in practice.So we try to borrow experience from the draft C-45 of criminal law from Canada that mainly focuses on corporation crime,hopefully it can brings about more useful advice in order to build more perfect Chinese legal system.
