This paper carries an analysis of the external and internal problems in land-use regulation,these external and internal problems result in such land-use matters as follows: inelastic regulation and resource market allocation are conflictive,which due to land-use efficiency damaged;regional externality caused by land-use regulation made land-use benefit distribution unbalance,which aggravated the inharmonious of regional development;internal problem leaded to serious rent-seeking,with construction land oversupply and agricultural land(or ecological land) low level using.Hence,the existing land-use regulation institution could be improved;land-use function replacement between regions is a policy instrument for institutional improvement.
