La présente étude porte sur 353 entreprises familiales françaises, cotées sur les marchés réglementés, et tend à confirmer la relation positive entre l’actionnariat salarié et différentes variables de performance. Les réticences exprimées par certains dirigeants d’entreprises familiales à l’égard de l’actionnariat salarié posent alors question. On peut toutefois proposer un modèle explicatif fondé sur la gestion des conflits. En effet, l’actionnariat salarié est plus fréquent en présence d’un bloc de contrôle familial affaibli. Il peut en résulter un phénomène d’enracinement et un risque concomitant de baisse de performance. Dans ces conditions, la performance préalable est une forte incitation pour que les dirigeants d’entreprises familiales acceptent d’endosser délibérément le surcoût entraîné par l’implantation d’un actionnariat salarié, tout en espérant, en contrepartie, une pérennisation du contrôle familial.
