Corporate Governance and Firms’ Acquisition Behavior: A Failure-Tolerance Perspective

Abstract
Agency theorists have long warned companies to adopt corporate governance practices that foster financial diligence. But a focus on financial diligence could accentuate risk aversion in managers and undermine learning. However, the failure-tolerance perspective offers a more balanced approach. We investigate the potential of antitakeover provisions to foster learning by encouraging managers to be receptive to negative feedback that oftentimes accompany merger and acquisition (M&A) announcements. Drawing on a sample of 8,438 M&As by 1,301 public companies in the United States, we report evidence that links such provisions to positive acquisition-learning outcomes in general, and especially in less competitive industries.
