The purpose of this research is to develop a model as how employees construe negative performance feedback and respond to that. Build from the findings of in- depth interview with five employees having long work experience with varied organizations, the model suggests that the interpretations and responses follow three stages– encoding feedback, acceptance/rejection of feedback and behavioural strategies following feedback. The complex process of encoding found to be pre- dominantly construed as a phenomenon of perceived fairness which is largely influenced by interpersonal and organizational factors. The encoding led employees to accept or reject the feedback delivered, which finally direct them towards behavioural strategies. Practical implication and future research have been discussed.
