EnglishThis paper presents aspects of factoring contract in Brazil. For this, a bibliographical and documentary research was done, using the deductive method. Factoring has considerable relevance for business and economy, and the parts of the contract must have full discretion as to the meaning and content of the clauses agreed. In this sense, the article deals with the essential characteristic of this contract in Brazil, that is, the exclusive responsibility of the factor, in case of lack of payment by the debtor. It is also discussed whether factoring is a business contract, as well as the possibility of assignment of credits from sales to consumers, the exclusivity of the contract, and the liability in case of non-payment of credits by the debtor. In addition, the paper deals with UNIDROIT Ottawa Convention of 1988, as well as Portuguese, Argentine and Mexican legislations, for, in the end, treating of the two Brazilian Projects of Business Code, which aims to regulate the matter, in order to observe the influences received by these projects. Finally, conclusions about the study will be presented portuguesO presente trabalho expoe aspectos do contrato de faturizacao (factoring) no Brasil. Para tanto, fez-se uso de pesquisa bibliografica e documental, valendo-se do metodo dedutivo. O contrato de factoring possui consideravel relevância para as sociedades empresarias e para a economia em geral, devendo as partes contratantes ter pleno discernimento do significado e conteudo das clausulas pactuadas. Nesse sentido, o estudo trata da caracteristica essencial do contrato no Brasil, qual seja, o faturizador nao possui direito de regresso em face do faturizado, em caso de inadimplemento por parte do devedor deste. Discute-se ainda se o factoring e contrato empresarial, bem como sobre a possibilidade de cessao de creditos provenientes de vendas a consumidores, sobre a exclusividade do faturizado em relacao ao faturizador, e sobre a responsabilidade do faturizado em caso de nao pagamento dos creditos pelo devedor. Alem disso, faz-se breve analise da Convencao de Ottawa da UNIDROIT de 1988, bem como das legislacoes portuguesa, argentina e mexicana, para, ao final, tratar dos dois Projetos de Codigo Comercial Brasileiro em tramitacao, que pretendem regulamentar a materia, de modo a observar quais as influencias recebidas por estes projetos. Ao final, serao apresentadas conclusoes sobre o estudo.
