Abstract

The recently enacted statutes, which permit corporations to have less than three directors in certain circumstances, have been commented on in this publication previously.1 While these do not constitute a very startling or radical innovation they are, never-the-less, a marked departure from a long standing and almost universal corporate norm.2 Further consideration may, therefore, be appropriate. The purpose of this paper is to consider some of the problems, and some of the opportunities, presented by these statutory provisions. But first a word is in order with respect to chronology. The Wyoming Business Corporation Act, which was approved by the Governor on February 16, 1961, included the following provision:
