Abstract
본 연구는 2011년 8월말 기준 상호출자제한기업집단 소속 기업에 있어서 일감 몰아주기 관련 상속 세및증여세법 도입 전후에 재량적 영업활동의 변화가 있었는지 분석한다. 우선 실제로 2012년부터 시행된 과세가 1년 먼저 개시됐다면 2012년에 개인주주에게 증여세가 과세됐을 기업(수혜법인)을 가려냈다. 이들 수혜법인에 있어서 실제 증여세 과세대상 기간인 2012년과 2013년 동안 영업이익 및 특수관계자 매출비중이 차이가 있는지를 검증했다. 동 기간에 합병으로 소멸될 가능성이 높아졌는지도 검토했다. 분석 결과 개인주주에 대해 증여세가 과세될 가능성이 있었던 수혜법인의 경우 영업이익과 특수관계자 매출비중이 증여세 과세대상 기간인 2012년과 2013년에 유의하게 낮아지는 것으로 나타났고, 2011년 특수관계자 매출비중이 높았던 수혜법인이 합병으로 소멸될 가능성이 더 높은 것으로 나타났다. 추가분석을 통해 수혜법인이 증여세 과세기간에 영업이익을 감소시키는 방법을 검토한 결과, 재량적 발생액과 실물적 이익조정의 방법 중 비정상 생산비용 및 비정상 판매관리비의 조정을 통해 영업이익을 하향 조정한 것으로 나타났다. 이는 개인주주에게 과세될 가능성이 있는 증여세를 회피하기 위해 해당 기업이 재량적으로 영업활동을 조정했음을 시사한다. 본 연구는 일감 몰아주기 증여세 규정에 대응하는 기업의 재량적 행위를 분석함으로써 정부정책의 효용성에 한계가 있을 가능성을 밝혔으며, 정책을 통한 규제가 결국 기업의 행위에 변화를 초래한다는 선행연구의 논지를 뒷받침하는 증거를 제시했다(Blouin et al. 2010；Donohoe and McGill 2011). 또한, 기업의 특성과는 별개로 개인주주의 조세유인이 기업의 영업활동에 직접적인 영향을 미칠 수 있음을 확인한 점에서 의미가 있다.
