Abstract
L’article procède à l’analyse de la théorie de l’entreprise introduite par le Code civil du Québec. Il comporte deux parties : une première identifie les différences entre la thèse du nouveau Code et les théories de la commercialité retenues pour l’application du Code civil du Bas-Canada. En particulier, l’auteur indique dans quelle mesure le concept législatif d’entreprise s’éloigne du modèle proposé par la doctrine dans la thèse de l’entreprise. L’auteur souligne aussi les difficultés d’application des nombreux articles qui font appel à la notion d’entreprise. Dans la deuxième partie, l’article suggère des avenues d’interprétation possibles des textes législatifs qui auraient l’avantage d’assurer une certaine cohérence au Code et qui permettraient une application des articles fidèle à leur finalité.
