De nature juridique, cette étude présente la dernière innovation du droit américain en matière de société par actions : la Benefit Corporation. Face à l’enthousiasme que la Benefit Corporation suscite, se pose la question de savoir si cette structure sociétaire dessine les grandes lignes d’une gouvernance d’entreprise responsable. En leur qualité de mécanisme institutionnel de gouvernance, les devoirs des administrateurs constituent un champ exploratoire spécifique. Or, la position du droit quant à la définition du devoir de loyauté des administrateurs laisse place à des doutes quant au succès de cette ambition. De plus, le droit américain traditionnel des sociétés assimilant « intérêt de l’entreprise » et « intérêt des actionnaires » relève d’une idéologie. C’est cette idéologie qu’il convient de remettre en cause pour que les entreprises de demain soient vectrices de progrès économiques, environnementaux et sociétaux. Il n’y a aucune certitude que la Benefit Corporation y parvienne à elle seule.
