Abstract
Cet article tente d’identifier les modalités du pouvoir actionnarial en prenant l’exemple d’une entreprise sous LBO confrontée à la crise économique et au départ de son patron. La conception du contrôle des fonds d’investissement permet de rendre compte de la cause et de la nature du changement, i.e. de l’appartenance du successeur à la même coalition que le prédécesseur et à l’inflexion de son profil. Dépendants des cadres dirigeants pour mettre en œuvre les stratégies de profit, ces actionnaires sont amenés à intervenir dans les crises du contrôle pour prendre la tête du processus de succession et amener des dirigeants en accord avec leurs objectifs. Le pouvoir des fonds d’investissement relève moins d’une colonisation de la direction que l’administration indirecte de l’entreprise.
