The Empirical Link Between Corporate Governance, Corporate Social Responsibility, and Firm Value

Abstract
This paper investigates the empirical link between Corporate Governance (CG), Corporate Social Responsibility (CSR), and Firm Value. Gompers et al.’s (2003) G Index and Bebchuk et al.’s (2009) E Index are used as proxies for CG. A CSR Rating is constructed from KLD’s social ratings for strengths and concerns for community, diversity, employee relations, environment, and product over the period of 1991 – 2006. Tobin’s Q is used as a proxy for Firm Value. The results indicate a positive relationship between less restrictive shareholder rights (as represented by lower G and E Indices) and CSR Rating, and a positive relationship between CSR Rating and Firm Value, when controlling for year and firm fixed effects. This paper also finds evidence that lower Governance indices contribute to higher CSR engagement and higher firm value, however, after controlling for Research and Development investment and Advertising Intensity, the relationship between CG and Firm Value is insignificant.
