Abstract
Le droit de la gouvernance d’entreprise connait de bouleversements sous l’influence de l’émergence de la finance sociale. À l’heure actuelle, les législateurs repensent les modèles d’affaires construits sur le dogme de la maximisation des profits. Certaines législations ont récemment mis en place un cadre permettant aux entreprises lucratives d’inclure dans leurs statuts une mission sociale. Saluée par certains et promue par d’autres, cette innovation soulève des questionnements.
