Abstract
최근 전세계적으로 화두가 되는 이슈중 하나는 중국을 위시한 후발 개도국의 국유기업들이 선진국의 첨단산업 또는 인프라스트럭쳐 프로젝트를 인수함으로서 발생하는 국가안보 우려이다. 이에 미국은 CFIUS (Committee on Investment in the United States), 캐나다는 Investment Canada Act 상 Foreign Investment Review 제도 등을 통해서 일정 규모 이상의 전략적 산업 분야의 외국인 직접 투자를 허가 또는 거부할 수 있는 제도를 운영하고 있다. 이에 비해서 EU의 경우 개별 회원국 차원의 투자 검토 제도는 일부 시행되고 있으나, EU 전역에 적용되는 투자 검토 및 제한 제도는 아직 존재하지 않고 있었다. 이에 EU 집행위원회에서는 2017년 9월 13일에 EU 차원의 투자 규제 메커니즘 도입을 위한 규칙안을 유럽의회 및 EU 이사회에 제출함으로서 관련 입법 절차가 시작되었다. 동 규칙안은 특히 EU 집행위원회와 회원국이 EU 및 회원국의 공공질서 및 안보에 영향을 줄 수 있는 외국인 직접투자에 대해 완료 여부에 상관없이 투자 대상국에 의견을 제시하고, 투자 대상국은 이를 중요하게 검토해야 한다는 점을 주된 내용으로 하고 있다. 또한 EU 주요 회원국들도 기업결합심사 규칙 또는 독립된 법규로 유사한 제도를 도입하고 있다. 한국의 경우 외국인투자촉진법 시행령 제 5조에서 CFIUS와 유사한 국가안보 근거 외국인 직접 투자 규제 제도 근거규칙을 도입했으나, 실무적으로는 거의 쓰이지 않고 있다. 또한 공정거래위원회도 기업결합심사시 비공식적으로 국가안보 및 공공질서를 심사 요소로 검토할 수는 있으나 독점규제 및 공정거래에 관한 법률에 명문의 규칙이 없기 때문에 공정위가 이를 검토하지 않고 기업결합을 허가해도 막을 수 없는 실정이다. 따라서 미국 및 EU, 또한 각 회원국들의 제도를 참조해서 특히 국방, 첨단기술, 중요 인프라스트럭쳐 관련 기업결합심사에 대해서 국가안보 및 공공질서를 중요한 심사요소로 도입할 명문 규정을 마련하는 것이 중요할 것으로 보인다. 또한 RCEP 또는 TPP 등 아시아 지역 역내 협정의 투자 Chapter에도 EU의 제도와 유사한 모니터링 제도를 도입해서 역내 국가들 간의 외국인투자의 안보 위험을 공유하는 방안도 고려해 볼 수 있을 것이다. 특히 EU 규칙안 8조의 협조 체제 중 안보 및 공공질서에 영향을 미칠 수 있는 외국인투자에 관한 정보 공유 조항은 아시아 지역의 context에 맞게 도입한다면 역내 외국인투자 관련 법규를 조화 (harmonize)시킬 수 있는 제도로 기능할 수도 있을 것으로 보인다.
