Abstract
Unternehmensübernahmen und -fusionen (M&A) sind von erheblicher wirtschaftlicher Bedeutung und einige spektakuläre Transaktionen der jüngsten Vergangenheit haben Bankenzusammenschlüsse in Europa verstärkt in das öffentliche Interesse gerückt. Ein wichtiger Teilaspekt der M&A-Thematik ist die Wahl der Akquisitionswährung, also der Form der Bezahlung einer Unternehmensübernahme. Welche Auswirkungen hat es, ob eine Übernahme mit Aktien oder in bar bezahlt wird? Was sind treibende Faktoren und Motive entsprechender Entscheidungen? Andreas Weese setzt sich mit der kapitalmarkttheoretischen und der empirischen Forschung zur Zahlungsform bei Unternehmenszusammenschlüssen auseinander und kommt zu dem Ergebnis, dass die Wahl der Akquisitionswährung ein relevanter Faktor für den Erfolg von Unternehmenszusammenschlüssen ist. Allerdings sind die Ergebnisse bisheriger Studien nicht eindeutig und speziell für den europäischen Bankensektor mangelt es an Analysen. Ein Kernstück seiner Arbeit ist daher die Untersuchung anhand eines aktuellen Datensatzes von 117 Übernahmen durch europäische Banken innerhalb des Zeitraums von 1999 bis 2005.
