Abstract
En 2012, Agrium Inc., une entreprise cotée sur le marché canadien et appartenant au secteur chimique, est la cible de l’un de ses actionnaires, le fonds de couverture JANA Partner LLC. Cet article propose une étude clinique détaillant les démarches déployées par ce hedge funds activiste, ainsi que les résistances des dirigeants assistés par leur conseil d’administration. Agrium Inc. est l’une des rares entreprises canadiennes à s’être défendue efficacement. L’agressivité des hedge funds étant de plus en plus controversée, cette analyse montre comment une entreprise peut riposter à une telle attaque.
