Abstract
L’historiographie de la Compagnie de la Nouvelle-France (CNF) traite surtout de son rôle dans la colonisation de l’Amérique du Nord-Est. En étudiant sa forme, cet article resitue la compagnie dans l’histoire plus large des expérimentations européennes avec la société par actions. La liquidation des dettes de la Compagnie dans les années 1630 et 1640 contraint les associés, les directeurs et les juristes à expliciter leur vision de la responsabilité financière au sein de l’entreprise. Après avoir pesé les arguments juridiques et moraux des parties en cause, l’article soutient que la complexité entourant la question de la responsabilité des associés et des directeurs résulte de l’enchevêtrement des univers corporatif, monarchique et commercial.
