Abstract
Het ‘in control statement’, een expliciete verantwoording in het bestuursverslag door bestuurders over de adequate opzet en effectieve werking van de risicomanagementsystemen, staat momenteel weer volop in de schijnwerpers van de politiek, wetgevers, bestuurders, commissarissen, aandeelhouders, beleggers en accountants. Een ‘in control statement’ is waardevol voor onder andere de kwaliteit van de financiële verantwoordingsinformatie, het waarborgen van de continuïteit van de onderneming en goed ondernemingsbestuur. Volgens onderzoekers van de Universiteit Leiden kan het ‘in control statement’ een rol spelen in het versterken van de verantwoordingsketen in Nederland (rapport ‘Versterking verantwoordingsketen (2021))’. De Monitoring Commissie Corporate Governance Code vond het onderwerp desondanks te controversieel om in de geactualiseerde Code 2022 een ‘in control statement’ op te nemen (ondanks het verzoek van de minister van Financiën hiertoe), zoals de onderzoekers van de universiteit bedoelden. Dit artikel presenteert een praktisch ontwerp van een in control statement, met de intentie de discussie hierover verder te brengen.
