Abstract
Abstract In examining how courts construe the content of a contract, we have focused up until now on determining what the contract obliges the parties to do or not do. For instance, we have discussed the obligation of a vendor to deliver goods of satisfactory quality and of a purchaser to pay the contract price. In practice, however, courts are equally concerned with a second task— identifying the circumstances in which those obligations are not binding. In many sale of goods cases, for example, it will be clear that the vendor did not deliver: the dispute will concern whether, in those particular circumstances, the vendor was still bound to make that delivery.
