L’entreprise, institution marquante du XXI e siècle, est en profonde mutation. La poursuite pathologique du profit combinée à une exacerbation des effets externes de ses activités sur la société amènent les juristes à s’interroger sur la responsabilité juridique et morale de l’entreprise. La doctrine de la responsabilité sociétale de l’entreprise a permis la remise en cause de la théorie de la primauté actionnariale par la théorie des parties prenantes. L’entreprise est ainsi invitée à se détourner du « tout profit » pour prendre en considération les préoccupations sociales et environnementales. Depuis les années 2000, les législateurs de différents pays ont consacré l’entreprise à mission, une nouvelle structure juridique censé concilier les intérêts économiques d’une part et les intérêts sociaux et environnementaux d’autre part. Pour certains, elle constitue donc une opportunité pour surmonter les difficultés d’encadrement des grandes entreprises. Pour d’autres, plus critiques, l’entreprise à mission détourne l’entreprise de sa mission.
