Abstract
Une vingtaine d’années après avoir été placé au coeur de la gestion des enjeux stratégiques par la loi NRE en 2001, le conseil d’administration est aujourd’hui l’épicentre de l’appréhension des « enjeux sociétaux » dans la société anonyme. En 2022, l’actualité du conseil est jalonnée par des problèmes liés à la délimitation des contours de ce nouveau statut. Au plan législatif, en vertu de la loi visant à démocratiser le sport en France du 4 mars 2022, le conseil d’administration ne prend plus seulement en considération les enjeux sociaux et environnementaux il détermine la stratégie « en considérant les enjeux sociaux, environnementaux, culturels et sportifs de l’activité de la société ». Au plan de l’évolution des pratiques, la cadence des assemblées générales des sociétés cotées fut bouleversée par des dépôts de résolutions climatiques par des actionnaires activistes. Un exemple en particulier a soulevé d’importantes questions de répartition des pouvoirs entre le conseil d’administration et l’assemblée générale de la société anonyme.
