Le commerce parallèle renvoie à la mise en circulation des produits en dehors des chaînes de distribution autorisée de leurs fabricants. Devant l’inaction du législateur canadien à intervenir directement pour réglementer le commerce parallèle vu l’avantage qu’il peut représenter aux consommateurs d’obtenir les mêmes produits ou des produits substantiellement similaires à moindre prix, différentes stratégies ont été tentées par les fabricants et distributeurs autorisés pour remédier à l’érosion de leur marge bénéficiaire et des atteintes possibles à leur image de marque. Au Canada, les avenues les plus prometteuses se situent au niveau du droit commun, en recherchant la responsabilité extracontractuelle du commerçant parallèle pour commercialisation trompeuse et interférence contractuelle, voire une responsabilité contractuelle dans certains cas.
