L’arbitrage investisseur-État, mode de résolution des différends aussi emblématique que controversé dans le domaine du droit international des investissements, soulève de nombreuses questions, dont celle relative à la possibilité reconnue aux actionnaires de présenter des réclamations pour pertes par ricochet. De telles réclamations permettent aux actionnaires qui répondent à la définition applicable d’investisseurs étrangers de demander en arbitrage investisseur-État une réparation pour un dommage qui prend la forme d’une réduction de la valeur de leurs actions. Une telle possibilité, bien qu’importante et cohérente au regard de l’objectif du droit international des investissements de protéger les investisseurs étrangers et leurs investissements, génère une série de risques qui, s’ils ne sont pas pris en compte, peuvent résulter en une atteinte aux droits des États, défendeurs dans les procédures d’arbitrage investisseur-État et, in fine, mettre à mal la légitimité de ce mécanisme de résolution des différends. Le modèle canadien d’Accord sur la promotion et la protection des investissements étrangers (APIE) de 2021 semble permettre de telles plaintes tout en tentant de les encadrer et de limiter les risques de procédures multiples ainsi que les dangers de double indemnisation et d’incohérence par le recours à deux mécanismes en particulier : celui des renonciations et celui de la jonction de plaintes.
