Abstract
This chapter discusses good faith obligations as they arise in employment agreements. This includes an employer’s exercise of discretion in relationship to bonuses (Mihlenstedt v Barclays [1989]). The chapter discusses the employee’s implied obligations, including its implied obligation of good faith and fidelity towards its employer. The chapter also discusses the mutual obligation of trust and confidence that applies to both employers and employees. The chapter also discusses the treatment of bonuses, and good faith in relation to directors’ duties. Comparisons are made to other jurisdictions, including the United States, Canada, Australia, New Zealand, France and Germany.
