Abstract
Hvordan bør styret følge opp daglig leder med henblikk på å hindre misbruk av mandat eller stilling? Det er et spørsmål som ofte dukker opp i etterkant av medias søkelys på situasjoner hvor det har fremkommet kritikkverdig adferd fra daglig leder i form av disposisjoner som er foretatt, eller handlinger som ikke kan forsvares eller forstås ut fra selskapets formål eller virksomhet. Styrets forvaltnings- og tilsynsansvar tilsier at styret bør påse at det foreligger adekvate prosesser og rutiner som sørger for at de får tilstrekkelig informasjon og innsikt til å utføre sine oppgaver. I tillegg medvirker styrets holdning og signaler som sendes gjennom de handlinger styret utfører, til å forebygge at kritikkverdige handlinger fra daglig leder oppstår.
