Au cours de la seconde moitié du xix e siècle, la société française est aux prises avec de nombreuses controverses sur la personnalité morale et les entités qui devraient avoir le privilège d’en bénéficier, controverses qui n’ont pas de parallèle évident dans les pays dont le droit est issu ou inspiré de la common law. Dans ces arguments sur la personnalité morale et son utilité pour la société, l’autrice décèle un projet de réformation du comportement des individus, une « moralisation ». Mettant en dialogue le discours du xix e siècle et certains éléments présents dans des débats contemporains sur la gouvernance d’entités publiques et privées, elle montre comment le projet moralisateur à l’oeuvre dans les débats sur la personnalité morale en France au xix e siècle continue d’influer sur les compréhensions contemporaines de la gouvernance.
