Abstract
A ausência de exigências específicas na legislação brasileira para garantias em investimentos em Sociedades Anônimas do Futebol (SAFs) cria desafios para a fiscalização do cumprimento dos planos de investimento. Este artigo discute a necessidade de mecanismos contratuais que garantam a execução dos aportes financeiros prometidos, explorando modelos como Project Finance, covenants financeiros e analogias com contratos de concessão pública. O Parecer CVM nº 41/2023 identifica vários aspectos impostos às SAF que, no âmbito das SA, são exigidos apenas àquelas de capital aberto, como a divulgação de informações periódicas no site exclusivo na internet, inclusive demonstrações financeiras, o que reforça que as SAF devem profissionalizar e auditar suas demonstrações nos mesmos moldes das companhias de capital aberto. Além disso, são discutidas soluções contratuais como cláusulas de reversão de ações, exigência de garantias reais, e limites de endividamento, visando equilibrar a proteção dos clubes e a viabilidade do investimento.
