Abstract

ResumoO princípio está consagrado no artigo 1134º, nº3, do Código Civil, segundo o qual: "Elas (as convenções) devem ser executadas de boa fé", exigência posteriormente alargada à fase de celebração do contrato.Esta extensão da boa-fé começa a ser levada em consideração pelo legislador se nos referirmos ao artigo 1375° do Código Civil de Quebec que dispõe: "A boa-fé deve reger a conduta das partes, tanto no momento do nascimento da obrigação quanto da sua execução e de sua extinção ".A boa fé, que aqui assimilaremos aqui à lealdade, tornou-se um dos elementos essenciais de todo contrato e de cada contrato, à ponto de constituir um princípio geral de direito.A constituição de garantias remete para a celebração de contratos que visam garantir o cumprimento de uma obrigação e, para o efeito, o Acto Uniforme OHADA sobre o ao direito das garantias consagrou, à vários níveis, disposições para garantir o cumprimento da ética contratual.
